Agreement in principle for the acquisition of trading enterprise De Bruycker N.V.
Royal Reesink N.V. (“Royal Reesink”) has reached agreement in principle to acquire all the assets and liabilities of the trading enterprise De Bruycker N.V. (“De Bruycker”). De Bruycker is the sole distributor in Belgium of brands including Kobelco and Bomag.
The acquisition of De Bruycker means:
• Supplementing and strengthening the earth-moving activities of Royal Reesink in Belgium.
• A strong Benelux organisation for the brands Atlas, Kobelco, Schaeff and Bomag in Belgium.
• Further generation of cross-selling opportunities within Royal Reesink as a result of the broader delivery programme.
• A positive contribution to the return from the earth-moving activities.
Profile of De Bruycker
De Bruycker was incorporated in 1961 and has been operating as a dealer organisation for earth-moving and roadworks machinery for over 55 years. De Bruycker specialises in the sale, rental and service of machinery and equipment for earth-moving, roadworks and freight handling. With facilities in Ostend and Diest, De Bruycker represents important brands such as Kobelco, Bomag, Gomaco, Breining, Okada and Leica Geosystems.

Strategic considerations
De Bruycker is a distributor of brands including Kobelco and Bomag in Belgium and Kemp|Hamme is the Belgian distributor of brands including Atlas and Schaeff. As in the Netherlands, there will be a strong organisation for the brands Atlas, Kobelco and Schaeff in Belgium. Combining the delivery programmes of De Bruycker and Kemp will give us the opportunity to further improve our service to existing and new customers. The geographical spread of the facilities will assist us in developing these combined operations. Mr Ben Kemp, division director of Reesink Construction Equipment, will provide the overall management. Mr Dirk de Bruycker will stay on for a period to guide the transition to Royal Reesink. Mr Geert de Bruycker will remain in his current position and lead the Belgian earth-moving and roadworks operations from Ostend. The close links between De Bruycker and Kemp|Hamme in Belgium and the Dutch businesses Hans van Driel and the Kemp Group should ensure a strong, competitive and future-proof organisation in the Benelux countries.
Gerrit van der Scheer, (CEO Royal Reesink): “The acquisition of De Bruycker marks an important step in the further development of our earth-moving business. Following the successful combination of Kemp and Hans van Driel in the Netherlands, with each business retaining its own identity, we intend to realise a similar process in Belgium with De Bruycker and Kemp Hamme.”
Ben Kemp (division director Reesink Construction Equipment): “The acquisition of De Bruycker by Royal Reesink presents opportunities to establish a strong organisation based on synergy benefits and close cooperation between the Belgian and the Dutch businesses. An organisation that will offer employees the chance to develop themselves further and that can look forward to the future with confidence. We also expect to be able to improve our service to our customers in Belgium as a result of a significant expansion of our product portfolio.”
Geert de Bruycker (director De Bruycker): “This acquisition will mean that under our own name we will be part of a highly ambitious group that can realise a strong presence in Belgium and the Netherlands as a total supplier in the market for earth-moving and roadworks machinery. It also means we can offer our employees continuity. I am therefore delighted to work with a party such as Royal Reesink, which sees an opportunity to become an important and leading player in our market.”
The transaction is expected to be completed by the end of September 2017. Completion of acquisition of Staja Beheer B.V. The acquisition of the shares in Staja Beheer B.V. was completed on 4 August 2017. This acquisition will enable Royal Reesink to meet the increasing demand for a well-equipped organisation and location for production and/or assembly activities.
This press release is published in Dutch, French and English. In case of conflict between the Dutch, French and English versions, the Dutch version shall prevail.
